Service Provider Agreement

This is a contractual agreement between

TLC Trauma and Centre and all Independent Mental Health Practitioners
(hereafter referred to as TLC or Trauma and Loss Centre),
and
the Complementary Health Service Provider and the business it represents
(hereafter referred to as the Service Provider)

This document is to clarify the understanding between the Trauma and Loss Centre, the practitioners, the Service Provider and the client. 

This agreement constitutes the entire agreement and supersedes any and all agreements between the parties, whether oral or written.

This agreement will be reassessed and updated by TLC and needs to be affirmed by the service provider annually or as needed.

This agreement may be terminated at any point for whatever reason.  Financial obligations will survive the termination of this agreement.

Where contractors function as a partnership, all parties are required to sign this Agreement individually and act as witnesses for each other.

TLC Trauma and Loss Centre

The Trauma and Loss Centre operates as a platform for independent mental health practitioners, with a focus on marketing, arranging events and receiving payments from clients. 

Clients are referred to service providers to complement interventions with clients.

Service Providers

Service providers refer to specialists whom TLC or health practitioners believe could add value to clients’ progress.

Mental Health Practitioners

All mental health practitioners are registered with professional councils that prescribe codes of conduct and ethical standards, and are bound by confidentiality agreements with the client.

In the event of a service provider being consulted to assist with a client, the practitioner will agree upfront with the client what information about him/her will be sufficient to share with the service provider, and will communicate the need to the service provider.

Communication

The practitioner may contact the service provider about the client’s progress.

Where the service provider notes something of importance, for example self-harming behaviour or emotional reactions, it would be prudent to contact the referring practitioner directly.

Trauma & Grief Informed

The service provider is expected to treat the client with care, being conscious of the fact that the client is probably dealing with emotional issues and may therefore be easily triggered.

The service provider needs to be trauma and grief informed, meaning that one is knowledgeable and has an understanding of what trauma and grief are, and that one is able to recognise emotional reactions and able to contain and calm the client down.

It is the service provider’s responsibility to get trained in this regard.

Liability

The service provider is professionally and personally liable for any claims made against him/her by a client.

The service provider takes responsibility for his/her staff or associates when serving a client.

Where necessary, the client may be asked to sign service agreements, disclaimers or waivers by the service provider.

No agreements between the client and TLC or practitioners have any bearing on the service provider.

Record Keeping

The service provider will keep a record of client visits.  TLC merely refer clients to service providers and does not keep track of visits or what has been done, unless specific incidents have been noted.

The service provider should complete and file incidence reports of any remarkable events, and inform the referring practitioner.

Costs

The client is responsible to pay the cost for the service provider. 

TLC does not have any responsibility in receiving payments or making bookings, unless the service provider specifically requests and agrees to the transaction and admin fees.

Remuneration for Referrals

No general agreement covers remuneration for referrals.  This will be arranged with the service provider upon agreeing to this document.

All remunerations are payable to TLC’s administration, within a week after the event or before the next visit by the client, whichever comes sooner.

Remuneration will be arranged with a combination of the following:

* A fixed commission, for all the client’s future visits.

* A set finder’s fee, and no other costs on future visits.

* A service fee for group events, for example where TLC arranged group activities and clients pay the service provider for it.

TLC may hire a service provider for specific events.

Service providers may also be asked to assist with workshops, retreats, or other events.

Promotions

TLC will indirectly promote the services offered by the service providers.  Interested clients will be referred to the relevant service provider, and recorded for follow-up.

Service providers may directly promote their businesses when taking part in workshops, retreats or other events.
